Emma Fenech has recently represented David Zahra & Associates at the AIJA – International Association of Young Lawyers’ fall seminar entitled “The art of the deal? Liability begins when artistry fails: Criminal and Civil liability in M&A transactions” held in Krakow, Poland.
The seminar was jointly organised by the Corporate M&A and Commercial Fraud commissions. It tackled an array of topics relating to M&A transactions ranging from the initial negotiations to eventual claims that may arise post-implementation. The speakers provided insight on practical ways to improve the legal due diligence procedure with a focus on transaction blockers and the use of LegalTech, negotiating and drafting representations and warranties clauses, as well as what is expected from the directors of the target during the course of the transaction. A discussion also revolved around the primary stages of litigation following a breach of the representations and warranties, with a particular focus on fact-finding.
This conference provided David Zahra & Associates Advocates with further knowledge in relation to identifying red flags when conducting a legal due diligence as well as an understanding of M&A transactions from the perspective of litigation lawyers as well as criminal lawyers.
