A few weeks ago, Giulio attended a conference in Istanbul organised by AIJA, which focused on the latest in corporate and M&A law. Lawyers from across the globe gathered to discuss the latest trends, challenges, and insights shaping today’s M&A landscape. The program was packed with engaging sessions and real-world case studies that touched on everything from cross-border transactions to navigating the complexities of director liability.

One of the key discussions explored the unique aspects of global public M&A deals. While the principles of M&A may be familiar worldwide, each country’s regulations add a distinct flavour to the process. As we learned, adaptability and an in-depth understanding of local laws are essential for successfully managing international transactions.

Public takeover laws were also discussed. Even when regulations appear similar across jurisdictions, subtle differences can have a big impact on deal structure and outcomes. This was a great reminder of the importance of attention to detail and specialised knowledge in M&A.

The conference also looked at strategies companies use to protect themselves from hostile takeovers. It was fascinating to see examples of when this tactic has struck the right balance between protecting the company and keeping shareholders on board, and when it has not.

There were also valuable insights on handling failed transactions, including lessons learned from high-profile deals that did not go as planned. These stories highlighted the importance of clear communication, thorough due diligence, and alignment among all parties involved.

Finally, the conference wrapped up with the ever-relevant topic of director liability in M&A. This session delved into the legal and ethical responsibilities directors face during high-stakes transactions, highlighting the fine line they must walk to balance corporate interests, shareholder expectations, and regulatory compliance.

All in all, the conference offered a fresh perspective on M&A, along with plenty of practical takeaways which could be used to help clients navigate today’s complex and evolving M&A environment.
